Please read these Terms carefully before using SupplyMesh. By creating an account or using the Platform, you agree to be bound by these Terms.
SupplyMesh, Inc. ("SupplyMesh," "we," "us," or "our") provides a B2B marketplace and RFQ matching platform at supplymesh.ai (the "Platform") that connects buyers and suppliers in industrial and manufacturing sectors. These Terms of Service ("Terms") govern your access to and use of the Platform.
You must be at least 18 years old and authorized to enter into binding agreements on behalf of yourself or your company to use the Platform.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@supplymesh.ai if you suspect unauthorized account access.
You may not create multiple accounts, impersonate another person or entity, or provide false registration information.
SupplyMesh provides tools that allow:
SupplyMesh is a technology platform only. We do not manufacture, purchase, sell, or take title to any goods. We do not act as a party to any transaction between buyers and suppliers.
RFQ Submissions. When you post an RFQ, you represent that the information is accurate and complete to the best of your knowledge, and that you have authority to procure the described goods or services.
No Purchase Obligation. Posting an RFQ does not obligate you to award business to any supplier. However, we ask that you engage with matched suppliers in good faith and provide timely feedback.
Confidentiality. RFQ content shared with matched suppliers will be treated as business-confidential. By posting an RFQ, you consent to SupplyMesh sharing its contents with suppliers who are matched to your request.
Direct Contracts. Any purchase order, supply agreement, or other contract is solely between you and the supplier. SupplyMesh is not a party to those contracts and has no liability for their performance.
Capability Profiles. You represent that all information in your supplier profile — including certifications, equipment, capabilities, and capacity — is accurate, current, and not misleading. You agree to update your profile promptly when information changes.
Quote Accuracy. Quotes submitted through the Platform are representations of your actual pricing and lead time. Submitting speculative or inflated quotes to game cost intelligence data is prohibited.
RFQ Confidentiality. RFQ details shared with you through the matching process are confidential to the buyer. You may not share RFQ contents with third parties or use them for purposes other than preparing a responsive quote.
No Circumvention. You may not use contact information obtained through the Platform to solicit buyers outside the Platform during the term of any active RFQ engagement, except where a direct business relationship already existed prior to the match.
By submitting quotes through the Platform, you grant SupplyMesh a non-exclusive, royalty-free license to use aggregated, anonymized quote data to build and improve cost intelligence features available to Platform users. No individual company's quotes will be identified or attributed to you in any published data.
You agree not to:
SupplyMesh owns all right, title, and interest in the Platform, including its software, design, trademarks, and proprietary matching algorithms. These Terms do not grant you any ownership rights in the Platform.
You retain ownership of content you submit (RFQs, profiles, quotes). By submitting content, you grant SupplyMesh a limited license to use, display, and process it as necessary to operate the Platform and provide the services described herein.
Current Platform access is provided free of charge during our early access period. We reserve the right to introduce fees in the future with at least 30 days' notice to existing users. Continued use after a fee change takes effect constitutes acceptance of the new pricing.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SUPPLYMESH DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR FITNESS FOR PURPOSE OF ANY COST INTELLIGENCE DATA OR SUPPLIER MATCH RANKINGS.
SUPPLYMESH IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, LEGALITY, OR DELIVERY OF GOODS OR SERVICES EXCHANGED BETWEEN BUYERS AND SUPPLIERS. ALL TRANSACTIONS ARE SOLELY BETWEEN THOSE PARTIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPPLYMESH AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) $100.
You agree to indemnify and hold harmless SupplyMesh and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your breach of any representation made herein.
We may suspend or terminate your account at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting support@supplymesh.ai. Sections 6, 8, 10, 11, 12, and 15 survive termination.
We may update these Terms from time to time. We will notify you of material changes via the Platform or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with proceedings conducted in Los Angeles County, California. Each party waives any right to a jury trial.
Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SupplyMesh regarding the Platform. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
